The BEA Union Investment China A-Share Equity Fund (the "Fund") is to seek long-term capital growth by investing primarily in a diversified portfolio of securities of companies which have their principal place of business or key assets located in China or which derive a substantial part of their revenue from China.

The Fund invests in emerging markets may be subject to higher liquidity and volatility risks. While the Fund invests in a particular market or sector may be subject to a higher concentration risk than funds following a more diversified policy.

The Fund may enter into futures contracts and currency forward contracts for hedging and investment purposes. Given the leverage effect embedded in futures and currency forward contracts, the Fund may be exposed to significant losses.

The Fund will invest at least 70% of its assets in China A-Shares, primarily through a QFII which is subject to applicable regulations imposed by the PRC authorities, including among others, repatriation restrictions, which may subject the Fund to significant liquidity risk. Investment in the Fund involves significant risks relating to the PRC, including, among others, emerging market risks, social, political and regulatory risks. Given the significant risks associated with investing in China A-Shares, the Fund may be exposed to significant losses.

The Fund may be subject to the risks associated with changes in the PRC laws and regulations, including PRC tax laws, and such changes may have retrospective effect and adversely impact the Fund. The Manager currently intends to make provisions for any PRC taxes payable by the Fund on the gross realised capital gains derived from the disposal of PRC Securities, at a rate of 10% (or as otherwise advised by the Fund's tax adviser). Such provisions may be excessive or inadequate to meet the actual tax liabilities. In case of any shortfall between the provisions and actual tax liabilities, which will be debited from the Fund's assets, the Fund's asset value will be adversely affected.

* Valuation Days for the Fund are each Dealing Day# and the Valuation Point is the close of the last relevant market to close on each Valuation Day, the first Valuation Day being the first Dealing Day following the Launch Period.

# Dealing Day - The third Friday of each calendar month shall be a Dealing Day (subject to lock-up during the Lock-up Period^ in the case of Class I and Class P Units). If such day is not a day on which banks in Hong Kong and in the PRC are open for normal banking business ("HK & PRC Business Day"), the immediately following HK & PRC Business Day shall be a Dealing Day for such calendar month.

^ Lock-up Period - Class I and Class P Units subscribed during their respective Launch Period are subject to a lock-up period (ˇ§Lock-up Periodˇ¨). The Lock-up Period shall commence from the day of inception of the relevant class of Units and end after 3 calendar months. During the Lock-up Period, Units may not be redeemed without the consent of BEA Union Investment Management Limited (the "Manager"). The Manager shall have full discretion to waive the requirement of the lock-up, whether generally or in a particular case.
